Technical Assistance Programs

Technical Assistance Programs are designed to sustain Romania’s efforts of integration into international structures. Our Firm fully supports this major objective by professionally approaching various projects under the administration of international institutions. The complexity of these projects lead to the consolidation of a series of partnerships involving our Firm and world famous consulting companies.

Our recent instructions include:

  • Assisting the European Investment Fund (EIF) on the implementation of the EUR 100,000,000 Jeremie project in Romania, via which EIF shall manage on behalf of the Romanian State the structural funds provided by the EU for the purposes SMEs sector enhancement.
  • Assisting Arcelor Mittal (former Mittal Steel S.A.) in connection with USD 500,000,000 transaction whereby the World Bank granted funding with a view to acquire Mittal Steel Galati S.A. (former Sidex S.A.), the largest Romanian steel producer.
  • Assisting the Romanian Government as part of an international consortium including Lazard Frères and Raiffeisen Investment AG,.in connection with USD 52,000,000 transaction as part of an overall EU PHARE project of EUR 1,399,350, following the first major privatization project of a top Romanian bank, Banca Agricola S.A..
  • Advising a consortium comprising General Motors Corporation and Karsdorfer Eisenbahn-gesellschaft GmbH, the most important German railway operator, in connection with the attempted acquisition of the state-owned company Electroputere S.A. Craiova pursuant to a funding granted by the World Bank.
  • Assisting the Romanian Authority for Privatization (APAPS) as part of a consortium including Paribas, Central European Trust Ltd. and PricewaterhouseCoopers, in relation with the successful privatisation of Alro, the largest national aluminum producer, pursuant to funding granted by the World Bank.
  • Retained by the Government of Moldavia for providing legal assistance in respect of the privatisation of the largest state-owned Moldavian company, Moldtelecom S.A., pursuant to a funding granted by the World Bank.
  • Advising Enel Distribuzione SpA (Italy), the largest electricity company in Italy, in connection with the EUR 112,000,000 privatization of two of the subsidiaries of Electrica S.A. (the largest electricity distribution company of Romania) - Electrica Banat S.A. and Electrica Dobrogea S.A., pursuant to a funding granted by EU PHARE Program. The privatisation of Electrica Dobrogea S.A. and Electrica Banat S.A. was part of the World Bank Program “Private Sector Adjustment Loan” (PSAL II).
  • Advising the Romanian Ministry of Transportation as part of an international consortium with ABN AMRO, PricewaterhouseCoopers and Simat, Helliesen & Eichner Inc., in the complex privatization process of the National Air Company Tarom S.A. pursuant to a funding granted by the World Bank.
  • Retained by the State Ownership Fund, as a part of a consortium with Rothschild and Clifford Chance, in connection with the restructuring process of Bancorex S.A., (the former largest Romanian state-owned bank) with a funding granted by the World Bank, as a first step towards Bancorex’ merger with BCR (Romanian Commercial Bank).
  • Retained by the Romanian Ministry of Communication and Information Technology, General Inspectorate of Communications and InterConnect Communications in connection with a USD 402,102 World Bank project for reevaluation and harmonization of communications legislation in Romania.
  • Retained by the Romanian Ministry of Industry and Resources, in a consortium with Markatos Lamnides, in connection with EUR 300,000 EU PHARE project, as part of the EU INOGATE Program in Romania. The instructions were extensive and called for a review of the Romanian legal framework on oil and gas transportation systems in order to meet the requirements of the Program.
  • Advising the State Ownership Fund on a project financed by the World Bank, having as object the restructuring of Clujana S.A. (a leading shoes manufacturing company) and of I.U.G. Craiova (an important producer of heavy-metal industry).
  • Advising Miroglio SpA in connection with the acquisition of 50.99% of the share capital of the state owned textile producer Moldosin S.A. Vaslui, pursuant to a World Bank financing.
  • Assisting the European Bank for Reconstructions and Development (EBRD) in connection with financing to Apa Nova, the concessionaire of the water and sewerage services in Bucharest, for the construction of a water treatment plant (Crivina).
  • Advising WS Atkins International Ltd. in its capacity of main consultant of the EBRD as counsel for the preparation of a PPP strategy for roads in Romania, with particular preference to the Bucharest-Brasov motorway.
  • Advising TDI GROUP in connection with the EU PHARE Program on “Operational Support for Establishing Proper Implementation Procedures for Business Infrastructure Projects” having the Romanian Ministry of Development and Prognosis as beneficiary.
  • Advising the National Agency of Civil Servants on the PHARE project “Design and Implement Mechanism for the Full Application of the Civil Servants Statute Law”.
  • Retained by the World Bank in connection with the project on “Corporate Governance Country Assessment in Romania”, with a view to develop guidelines that will contribute to the strengthening of the international financial architecture.
  • Advising on the project in connection with “Banking Sector Legislation Assessment”, financed by the Government of Switzerland (Swiss Technical Co-operation Fund) whereby the European Bank for Reconstruction and Development (EBRD) conducted an assessment of the current status of the banking sector legislation in each of EBRD's countries of operations, benchmarked against relevant international standards, in particular, the Core Principles for Effective Banking Supervision issued by the Basel Committee on Banking Supervision.
  • Assisting EBRD in connection with EUR 20,000,000 loan granted to Billa Invest Construct S.R.L..
  • Assisting EBRD in connection with EUR 50,000,000 loan granted to Banca Comerciala Romana S.A. (BCR), in connection with a mortgage loans program initiated by BCR.
  • Assisting EBRD in connection with EUR 20,000,000 loan granted to Banc Post S.A., with a view to granting mortgage loans.
  • Assisting EBRD in connection with EUR 10,000,000 loan granted to Banca Transilvania S.A., with a view to granting mortgage loans.
  • Assisting EBRD in connection with USD 100,000,000 loan granted to Mittal Steel Galati S.A. (former Sidex S.A.) in connection with an investment program in steel industry.
