Mușat & Asociații advised Palace Dumbrava on its affiliation to the Hilton Hotels network
Mușat & Asociații, one of the leading law firms in Romania, successfully completed the affiliation of Palace Resort & Spa Hotel (Sibiu) to the international Hilton Hotels network via franchise. The contract was signed on 1 December, 18:00 GMT, in London.
“It is one of the few franchise contracts that Hilton hotels has implemented in Central and South-Eastern Europe and the first affiliation of a Romanian hotel outside Bucharest to a top international hotel brand. To complete this highly complex legal assistance project with record speed, Mușat & Asociații, which acted as legal advisor for Palace Hotel, allocated a team of eight experienced attorneys, specialized in: mergers & acquisitions, hotel industry, real estate, competition and intellectual property rights”, says Iuliana Craiciu, Partner with Mușat & Asociații.
The affiliation project started in August with an extensive legal due diligence intended to highlight the benefits and the legal risks implied by the affiliation to a hotel network, as well as to explore the affiliation options, primarily consisting of an operation contract or a franchise contract. In early September the first contacts with the Hilton representatives were initiated, followed by the preparation of the support documentation required for the franchise project and by the negotiations of the franchise contract with the Hilton representatives.
Mușat & Asociații will continue to offer legal assistance to Palace Hotel in the following months, in view of ensuring compliance with all the formalities required by the Hilton brand. Located in the vicinity of the Dumbrava forest, near Sibiu, a natural monument, the hotel will combine business tourism with leisure facilities, including a 1,500 sqm spa club and various sports and entertainment facilities.
