Mușat & Asociații provided legal assistance to Giordano Controls S.p.A., an Italian company with extensive experience in the electronic equipment sector, specializing in the production of energy and HVAC control systems, and part of the Mondragon Corporation (one of the largest industrial groups, with an annual turnover of nearly 13 billion EUR), in the process of acquiring the entire share capital of Reset EMS S.R.L. (a company with over twenty years of experience in the production and assembly of electronic equipment).
The transaction was coordinated by the Italian law firm Belluzzo International Partners Studio Legale Tributario and involved a comprehensive range of legal services, from the due diligence phase and preliminary analysis from the perspective of competition law and FDI regulations, to the structuring of the relevant documentation for the implementation of the transaction in accordance with Romanian law and the coordination of all legal aspects involved in the transfer process.
The transaction was carried out over several months and involved close coordination with the lawyers in Italy. In this context, responsibilities were divided by jurisdiction, with the Mușat & Asociații team handling the transaction from the perspective of Romanian law, while the Italian jurisdiction component was managed by local lawyers, thus ensuring a consistent approach across both jurisdictions.
